Freelance service agreement template: every trap pre-neutralized
This is the protective version of a freelance service agreement: payment on a hard window with a late fee, IP that transfers only after full payment, revisions capped at two rounds, acceptance that happens on a calendar date, a kill fee, and a mutual liability cap. Every trap our review engine flags in client-drafted contracts — pre-neutralized here, in a fill-in-the-blanks generator.
What the template carries
Each clause maps to a trap we see in client-drafted contracts. The wording is the same fix the scanner recommends when it finds the trap — written into your agreement from the start:
- Payment — each invoice due within a stated window of receipt; overdue balances accrue 1.5% per month (18% APR), or the maximum rate permitted by applicable law, whichever is lower; undisputed portions stay payable on schedule even if other portions are disputed in writing.
- Intellectual property — all rights, including copyright, transfer to the client only upon receipt of full payment; until then, you retain everything, including your pre-existing materials and unpaid concepts and drafts.
- Revisions — up to two rounds requested in writing within 14 days of delivery; additional rounds billed at your standard hourly rate.
- Acceptance — deliverables are deemed accepted if the client provides no written objection within the stated window, so payment never waits on a feeling.
- Termination — if the client terminates for convenience, they pay for all work completed to date, plus a stated share of the remaining contract value.
- Liability — each party’s total liability capped at fees paid or payable; neither party liable for indirect or consequential damages. Mutual, not one-sided.
How to use it
Open the document center, pick the service agreement, and fill in the blanks: your name and email, the client's, the project name and description, the total fee, the payment window (14 days is the default we recommend), the delivery timeline, and your governing state. The generator assembles the full agreement with every protective clause in place — copy it, send it, and attach it to your next project kickoff instead of signing whatever the client's lawyer drafted.
A client asking for changes is fine: the clauses are written to read as fair professional practice, which is what makes them easy to defend in negotiation.
Questions freelancers ask
What should a freelance service agreement include?
Seven clauses do the protecting: a services description with independent-contractor status, a payment clause with a hard window (each invoice due within a stated number of days) and a late charge of 1.5% per month or the maximum your state permits — whichever is lower, IP that transfers to the client only upon receipt of full payment, a revision cap (two rounds requested within 14 days of delivery, extras billed at your hourly rate), a deemed-acceptance window, a kill fee if the client terminates for convenience, and a mutual liability cap. That is exactly what this template carries.
Is the service agreement template free?
The full service agreement is part of Pro ($29/month). The invoice, statement of work, and termination notice templates are free with a free account — email or Google, no credit card. If you are evaluating, run a free contract scan first: the same wording this template builds in is what the scanner flags as missing in the contracts clients send you.
Is a template a substitute for a lawyer?
No. The template is an informational document, not legal advice, and it creates no attorney–client relationship. Laws vary by state — for high-value engagements, have a licensed attorney review the final draft before signing.
How does this relate to the contract scanner?
They guard opposite ends of the same pipeline. The scanner reviews the contracts clients send you and flags the traps in them; this template generates the contract you send out with those traps neutralized at the source. The protective wording in both comes from the same knowledge base — the fixes the scanner recommends are the clauses this template already contains.
